Terms of Service
Version 2026-10-11
These terms are an agreement between Stalwart Technologies Ltd, Jubilee House, The Drive, Brentwood, CM13 3FR, United Kingdom ("Stalwart", "we") and the organisation that creates an account ("you"). They apply to Stalwart Agents: the API at api.stalwart.it, the console, the client packages we publish, and the local runtime (together, "the Service"). The person who accepts them confirms they are authorised to bind that organisation.
1. Business use
The Service is for businesses and other organisations, not for consumers. You must be at least 18 and act for an organisation to create an account.
The Data Processing Addendum (stalwart.it/dpa) forms part of these terms and applies whenever we process personal data on your behalf. Our privacy notice explains how we handle the personal data of the people who sign in.
2. Your account, members and keys
You are responsible for everything done under your account: by your members, with your API keys, and by the agents you run with them. Keep keys secret, revoke any you think are exposed, and tell us at crm@stalwart.it if you believe your account has been accessed without your authority.
An owner manages billing and members; owners and admins manage keys, settings and rules; viewers read. You decide who holds which role.
3. Plans, fees and taxes
The free plan costs nothing and has the caps shown on stalwart.it/products. The paid plan is a flat subscription, monthly or yearly, at the price shown on your Billing page when you subscribe; nothing is charged per unit. The enterprise plan is priced on request under a separate written agreement.
Subscriptions renew automatically at the end of each period until cancelled. Payments are processed by Stripe; we never receive your card details. VAT is added for billing addresses in the United Kingdom and the European Union where it applies; other taxes, duties and bank charges are yours.
If a renewal payment fails, your paid plan stays active for seven days while the payment is retried; after that your account moves to the free plan and keeps its data.
We may change a price with at least thirty days' notice by email. A changed price applies from your first renewal after the notice period. If you do not accept it, cancel before that renewal.
You may cancel at any time on your Billing page. Cancellation takes effect at the end of the current period, and the paid plan continues until then. Fees already paid are not refunded, except where the law requires it.
4. Acceptable use
You will not use the Service to break the law or anyone's rights; to attempt to gain access to systems or data you are not authorised to reach; to test, probe or attack the Service except through the products designed for that; to send malware; to circumvent caps, rate limits or key restrictions; to resell or provide the Service to third parties as a standalone service without our written agreement; or to reverse engineer the runtime or the packages except as the law allows despite this restriction.
Your agents' conversations, the tool calls they make and the documents they answer from stay on your own systems: the runtime, the gateway and the agents you run there process them, and they are not sent to the Service.
You will not send personal data to the Service. This covers the personal data of your staff, users, customers and anyone else, in anything that reaches our servers: what you type or upload (catalogues and tool descriptions, rule sheets, outcome phrasings, reply rules, verification requests and their uploads), feedback records, usage reports, and anything else your agents, the runtime or the packages send. Our client packages and the console look for common kinds of personal data before anything is sent and refuse to send what they find, but that check is an aid, not a guarantee, and it does not move any responsibility to us. Personal data that reaches the Service despite this is solely your responsibility, including having had a lawful basis to send it and any notice, consent, breach notification or other obligation it gives rise to.
You will not alter, disable or bypass the runtime's licence checks, leases or meters; edit, replace, delete, restore or forge its counter records or its usage reports; or extract the keys it holds. The runtime reports its usage to us at least as often as its lease is renewed, and the hosted parts of the Service are counted on our servers. We review usage for figures that cannot be right, and may suspend the installations or the account concerned under section 10.
5. Your content
"Your content" is what you send to the Service: catalogues, policies, rule sheets, outcome phrasings, reply rules, feedback and verification requests, and the results the Service returns to you. You keep all rights in your content. You grant us the right to host, process and transmit it only to provide, secure and support the Service for you.
We do not use your content to train models, and we do not sell it. Conversations are not sent to the Service. A feedback record your agents send carries the words of the turn a user rated, which your agents' vocabulary learns from; the client packages refuse to send one that holds personal data.
6. Results produced by AI and by the Service
The Service checks agents, rules and replies with deterministic methods, and some features let a language model of your choice draft text. You decide how to use the results. Verification results describe the policy, catalogue and configuration you submitted, and grounded answers are limited to the documents you index on your own systems. Review results before relying on them for decisions that matter, and keep the human oversight your obligations require.
7. Our intellectual property
The Service, the runtime, the packages and the documentation are ours or our licensors'. Subject to these terms and your plan, we grant you a non-exclusive, non-transferable right to use them for your internal business purposes during your subscription. Open-source components are licensed under their own licences, which these terms do not restrict.
If you send us suggestions, we may use them without obligation to you.
8. Confidentiality
Each party will keep the other's non-public information confidential, use it only for this agreement, and disclose it only to people who need it and are bound by similar duties, or where the law requires. This does not cover information that is public or was already known or independently developed.
9. Availability, changes and support
We work to keep the Service available and secure, but the free and paid plans carry no service-level commitment. We may change or retire features; we will give at least thirty days' notice before removing a feature that paid customers depend on, except where security or the law requires faster action. Support is by email at crm@stalwart.it.
10. Suspension and termination
We may suspend access, as narrowly as practical, if your use breaches these terms, threatens the security or stability of the Service, or the law requires it. We will tell you why and restore access once the cause is resolved.
You may close your account at any time from the console. Either party may end the agreement if the other materially breaches it and does not remedy the breach within thirty days of written notice. When an account is closed, its keys stop working at once and its stored data is deleted after the retention window stated in the documentation.
11. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available", without other warranties or conditions, express or implied, including fitness for a particular purpose. The free plan is provided without any warranty.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss. Each party's total liability arising from these terms in any twelve months is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Your payment obligations are not limited by this section, and neither is your liability under section 13 for personal data sent to the Service in breach of section 4.
13. Indemnity
You will defend and compensate us against third-party claims arising from your content or from your use of the Service in breach of these terms or the law. We will defend and compensate you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, except to the extent the claim arises from your content, your modifications or combinations, or use in breach of these terms.
You will also defend and compensate us against any claim, fine, penalty, regulatory action, cost or loss arising from personal data that you, your agents or your systems send to the Service in breach of section 4.
14. Changes to these terms
We may update these terms. We will announce material changes at least thirty days before they take effect, by email to owners and in the console, and an owner will be asked to accept the new version at their next sign-in. Changes required by law may take effect sooner.
15. General
These terms, the Data Processing Addendum and any order you place are the whole agreement about the Service and replace earlier understandings. Your purchase-order terms do not apply. You may not assign this agreement without our consent; we may assign it to a successor of our business. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, the rest remains in force.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without depriving you of any protection that the mandatory law of your country gives you. If these terms are translated, the English version prevails.
